About this time last year, Patti and I were involved in negotiations
with a young man named Rudi Asseer in the hope of selling our interest
in IAND, Inc./IANTD to him. In anticipation of the completion of that
end, and based on representations that we would be paid for our
interest in IANTD, you will recall that a July 1, 2005 press release
was issued appointing Mr. Asseer the President and CEO of IANTD. Those
appointments were made based on the belief that the parties would
reach a final agreement for the purchase of our interest in IANTD and
that the agreement would be upheld. In the belief that we would be
paid for our ownership interest in the Company, we allowed Mr. Asseer
to assume operations of the Company and, he moved the Company`s
headquarters to Canada.
Unfortunately, our hopes that this transaction would be completed have
not been met. Mr. Asseer has failed to make the payments required for
the purchase of our interest in the Company as required by the
parties` agreement. Checks that Mr. Asseer left with us as purported
payment of certain amounts owed under the parties` contract were
returned for insufficient funds when we tried to cash them. All of our
efforts to obtain payment from him for our interest in the Company
since July, 2005 have failed and, the promises Mr. Asseer made to us
have not been fulfilled. As such, litigation has been initiated
against Mr. Asseer and certain entities he is believed to own in Dade
County, Florida. The Complaint against him alleges that Mr. Asseer has
breached our parties` contract, engaged in fraud, made
misrepresentations and is guilty of civil theft of our interest in IANTD.
While no one can absolutely predict the outcome of any litigation, we
are confident in our position. And, you should all know that, as part
of the lawsuit, we intend to ask the Court to ratify and confirm our
position that - since Mr. Asseer has not made the required payments
under the parties` contract - we remain the primary owners of IANTD.
Along those lines, we now regard ourselves as the acting President,
CEO and Vice-Presidents of IANTD. Further, we do not recognize Mr.
Asseer as having any interest whatsoever in the Company or any role in
its future operations. Accordingly, if you have any questions
concerning IANTD operations or matters, please feel free to contact us
about any of those issues or questions at our home phone number,

This notice is being issued effective March 29, 2006, following an
emergency shareholders` meeting which resulted in a unanimous vote of
no confidence in Rudi Asseer as an officer in IAND, Inc./IANTD. In
addition, the shareholders petitioned the Board of Directors to ratify
the removal of Mr. Asseer as an Officer, in any capacity, of IANTD. An
emergency BOD meeting was held and another unanimous vote affirmed the
decision made to terminate Rudi Asseer from his positions as the CEO
and President of IAND, Inc./IANTD.
As such, effective now, Mr. Asseer no longer has any role in the
further or future management or operations of IANTD. In light of these
recent actions, please address all future IANTD contacts, business and
payments to IANTD c/o Tom Mount CEO at 1545 NE 104 Street, Miami
Shores, Florida 33138-2665.
Because I do believe in Karma and the Universe as being a kind place,
I am confident that we will, with your help, be able to return IANTD
to the most adventurous, the most pioneering and best company involved
in diver education. I know that this means another transition for all
of you but, I hope that you recognize that, while this decision was
difficult for us, it is a wise and considered course of action which
we know will lead us all to further growth and mutual benefit. May you
walk in peace, know happiness and enjoy success.
